Affiliate Program Terms

1. AGREEMENT TO TERMS

By applying to and/or participating in the Videobytes.ai Affiliate Program ("Program"), you ("Affiliate", "you", or "your") agree to be bound by these Terms & Conditions ("Agreement"). This Agreement constitutes a legally binding contract between you and Enzartec LLC ("Videobytes", "we", "us", or "our").

If you do not agree to these terms, you may not participate in the Program.

2. PROGRAM OVERVIEW

Videobytes.ai operates a performance-based affiliate marketing program where approved Affiliates can earn commissions by referring new customers to our AI video generation platform. Once approved, affiliates receive a unique coupon code generated in their affiliate portal. Affiliates promote Videobytes.ai by sharing their coupon code, and earn commissions when referred customers use the code at checkout.

What Videobytes.ai Does:
Videobytes.ai is a free AI video generator that enables users to create faceless videos and AI spokesperson videos from text. Our platform is designed for content creators producing videos for YouTube Shorts, TikTok, Instagram Reels, and other social media platforms.

3. ENROLLMENT & APPROVAL

3.1 Application Process

• All applicants must submit a complete affiliate application through our official enrollment page
• Applications are reviewed manually within 5 business days
• We reserve the right to accept or reject any application at our sole discretion
• Acceptance is not guaranteed, even if all technical requirements are met

3.2 Eligibility Requirements

To be eligible for the Program, you must:

• Be at least 18 years of age
• Have an active website, blog, YouTube channel, or significant social media presence
• Operate in a manner consistent with our brand values and image
• Comply with all applicable laws and regulations in your jurisdiction
• Not be located in a country subject to comprehensive sanctions by the United States, United Kingdom, or European Union

3.3 Account Information

You agree to:

• Provide accurate, current, and complete information during enrollment
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account

4. COMMISSION STRUCTURE

4.1 Commission Rate

Affiliates earn 10% recurring commission on all payments made by referred customers for the lifetime of the customer's subscription, or until the customer cancels their subscription.

4.2 Customer Discount

Referred customers receive 20% off their first order when using your unique affiliate coupon code at checkout.

4.3 Cookie Duration

Our tracking cookies remain active for 60 days from the date a potential customer clicks your affiliate link. If the customer purchases within this 60-day window, you will receive credit for the referral.

4.4 Commission Calculation

• Commissions are calculated based on the actual amount paid by the customer (after any discounts, refunds, or chargebacks)
• Commissions are tracked in USD
• Taxes, if applicable, are the Affiliate's responsibility

4.5 Refunds and Chargebacks

• If a referred customer requests a refund or initiates a chargeback, any commissions paid or pending for that transaction will be reversed or withheld
• Negative balances resulting from refunds/chargebacks must be resolved before future payouts

4.6 Prohibited Referrals

Commissions will NOT be paid for:

• Self-referrals (Affiliates cannot earn commissions by purchasing our services through their own affiliate links)
• Referrals from immediate family members or household members
• Fraudulent, suspicious, or incentivized signups
• Transactions flagged for unusual activity

5. PAYMENT TERMS

5.1 Payment Schedule

• Payments are processed monthly
• Payments are made by the 15th day of each month for commissions earned in the previous month
• Example: Commissions earned in February are paid by March 15th

5.2 Minimum Payout Threshold

• You must accumulate at least $50 USD in commissions before a payout is issued
• Balances below the minimum threshold will roll over to the following month
• There is no expiration on accumulated commissions as long as your account remains active

5.3 Payment Method

• Currently, payments are made exclusively via PayPal
• You must have a valid, verified PayPal account to receive payments
• You are responsible for any fees charged by PayPal
• Alternative payment methods may be added in the future at our discretion

5.4 Payment Currency

• All payments are made in USD
• Currency conversion (if applicable) is handled by PayPal according to their rates
• We are not responsible for exchange rate fluctuations or conversion fees

5.5 Tax Reporting

• You are solely responsible for reporting and paying any taxes on your affiliate earnings
• We may require you to complete tax forms (such as W-9 or W-8BEN) depending on your location
• We may report earnings to tax authorities as required by law

5.6 Payment Disputes

• You have 30 days from the payment date to dispute any payment issues
• All disputes must be submitted in writing to info@videobytes.ai
• After 30 days, payments are considered final

6. AFFILIATE RESPONSIBILITIES

6.1 Promotional Guidelines

You agree to promote Videobytes.ai in a professional manner that:

• Accurately represents our services and features
• Does not make false, misleading, or exaggerated claims
• Does not disparage Videobytes.ai, our competitors, or the industry
• Complies with all applicable advertising and consumer protection laws

6.2 Approved Promotional Methods

✅ Allowed:

• Blog posts, articles, and written reviews
• Social media posts (organic, non-paid)
• YouTube videos and video reviews
• Email marketing to your existing subscriber list
• Podcast mentions and discussions
• Educational content and tutorials
• Webinars and online courses

6.3 Prohibited Promotional Methods

❌ Strictly Forbidden:

Paid Search/PPC Violations:

• Bidding on "Videobytes", "Videobytes.ai", or any variation of our brand name in paid search campaigns (Google Ads, Bing Ads, etc.)
• Using our brand name in ad copy, headlines, or display URLs
• Bidding on misspellings or close variations of our brand name

Deceptive Practices:

• Cookie stuffing or cookie dropping
• Forced clicks or redirects
• Hidden or iframe-based affiliate links
• Using bots, automated traffic, or click farms
• Incentivized clicks (paying users to click your links)
• False advertising or making guarantees we do not offer

Spam:

• Unsolicited email marketing (spam)
• Posting in forums or comment sections without adding value
• Link farming or spammy backlink schemes
• Automated social media posting without genuine engagement

Brand Misrepresentation:

• Impersonating Videobytes.ai or our employees
• Creating websites or pages that appear to be official Videobytes.ai properties
• Using our brand name in domain names without written permission
• Suggesting an official partnership, endorsement, or employment relationship that does not exist

Adult/Illegal Content:

• Promoting Videobytes.ai on adult, gambling, or illegal content websites
• Associating our brand with violence, hate speech, or discriminatory content
• Violating any local, state, national, or international laws

Privacy Violations:

• Collecting personal information from referred users without consent
• Using tracking methods beyond our approved affiliate links and cookies
• Sharing or selling user data

7. FTC COMPLIANCE & DISCLOSURES

7.1 Legal Requirement

In accordance with applicable advertising laws and regulations (including FTC guidelines), you should disclose your affiliate relationship with Videobytes.ai in a clear and reasonable manner when promoting our services.

7.2 Disclosure Guidelines

We recommend that your disclosure:

• Be clear and easy to understand
• Be reasonably prominent and noticeable to your audience
• Use plain language without excessive legal terminology
• Appear in a location where it's likely to be seen

7.3 Example Disclosures

7.4 Flexibility Across Platforms

Different platforms have different affordances and user expectations. Disclosures may vary based on the platform you're using (YouTube, Instagram, TikTok, blog posts, etc.). The key is that your disclosure is clear and prominent for that specific platform.

7.5 Intent and Good Faith

We expect all affiliates to promote Videobytes.ai honestly and transparently. If you're making a good faith effort to disclose your affiliate relationship clearly, you're in compliance. We reserve the right to terminate participation for attempts to deliberately hide or obscure your affiliate relationship.

8. INTELLECTUAL PROPERTY

8.1 Ownership

All intellectual property rights in and to Videobytes.ai, including but not limited to:

• Trademarks, service marks, and logos
• Website content, text, images, and videos
• Software, code, and technology
• Brand name "Videobytes" and "Videobytes.ai"

remain the exclusive property of Enzartec LLC.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Use our name, trademarks, and logos solely for the purpose of promoting Videobytes.ai as an Affiliate
• Use marketing materials we provide in your promotional efforts
• Link to our website using your unique affiliate link

This license terminates immediately upon termination of your participation in the Program.

8.3 Restrictions

You may NOT:

• Register domain names containing "Videobytes", "Videobytes.ai", or confusingly similar variations
• Register social media handles using our brand name (unless approved in writing)
• Create content that could be confused with official Videobytes.ai materials
• Alter our logos, trademarks, or brand assets
• Use our intellectual property in ways that suggest endorsement of your own products/services
• Apply for trademarks, copyrights, or other IP rights related to our brand

8.4 Brand Guidelines

When using our brand assets:

• Maintain proper spacing and proportions of our logo
• Use approved color schemes and fonts (if provided)
• Ensure our brand is represented professionally and accurately
• Do not combine our logo with other logos or brands without permission

9. TRACKING & ATTRIBUTION

We use FirstPromoter integrated with Stripe to track affiliate referrals and commissions. Our tracking system is the sole and official record of all referrals and commissions.

Credit is given to the LAST affiliate link clicked within the 60-day cookie window. If multiple affiliates refer the same customer, only the most recent referral receives commission.

10. TERMINATION

Either party may terminate this Agreement at any time. Upon termination, your access to the affiliate dashboard will be revoked, and you must cease using our brand assets. Legitimate commissions earned before termination will be paid according to the normal payment schedule.

11. LIABILITY & INDEMNIFICATION

You are an independent contractor, not an employee of Videobytes.ai. We make no guarantees about commission amounts. To the maximum extent permitted by law, our total liability shall not exceed the total commissions paid to you in the 12 months prior to any claim.

You agree to indemnify and hold harmless Videobytes.ai from any claims arising from your promotional activities, breach of this Agreement, or violation of any laws.

12. CONFIDENTIALITY

You agree to keep all confidential information strictly confidential, including commission rates, dashboard data, and any internal communications.

13. MODIFICATIONS TO THE PROGRAM

We reserve the right to modify these terms at any time. We will notify active Affiliates of material changes via email. Continued participation after changes constitutes acceptance of the new terms.

14. GENERAL PROVISIONS

This Agreement is governed by the laws of the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of UK courts. If any provision is found unenforceable, the remaining provisions remain in effect.

• ✅You understand that violation may result in immediate termination and forfeiture of commissions
• ✅You accept the risks inherent in affiliate marketing, including tracking limitations
• ✅You are solely responsible for complying with all applicable laws and regulations
• ✅You will conduct yourself professionally and ethically in representing Videobytes.ai
